1. How The Program Works

The Karbon Referral Program ("Program") enables registered participants ("Referrers") to earn monetary rewards by introducing new customer organizations ("Referred Firms") to Karbon's subscription services. Participation requires Referrers to share their unique referral link, provided upon Program registration, with potential Referred Firms. The Program is structured as follows:

• Referrers are rewarded for each new individual user within a Referred Firm who subscribes to an annual plan via the Referrer's unique link (specific reward amounts are specified in Section 3 below)

•  

• Only new Referred Firm prospects, not previously in contact with Karbon's sales team, qualify as eligible referrals

•  

• Referred Firms must subscribe to an annual Karbon plan and successfully complete their first annual payment for you to qualify as a Referrer

•  

• Referrers have the opportunity to make an unlimited number of referrals, with no cap on potential earnings

•  

• Successfully Referred Firms receive a one-time discount on their implementation fees

•  

• To be eligible for the promotion, the Referrer must be 21 years or older

2. A Referral Is

A "Referral" within the Program is defined as:

• A new customer entity that has not previously engaged with Karbon's sales team

•  

• The entity must subscribe to an annual subscription plan of Karbon's services using the Referrer's unique referral link

•  

• All Referred Firms must meet all eligibility criteria as specified 

•  

• The subscription must be maintained for the contract duration 

•  

• A Referred Firms are considered successful upon meeting these conditions, making the associated rewards eligible for issuance to the Referrer

3. Rewards And Offers

• Referrers are eligible to receive a reward for each individual user in a Referred Firm who registers under the subscription to an annual Karbon service plan via the Referrer's unique link. 

•  

• Rewards are in the currency of the country where the subscribing Referred Firm maintains its headquarters/main office. The Referrer reward amounts are established on a per-country basis provided in the table immediately below. If your applicable country is not in the table below, contact Karbon at [email protected], and Karbon will determine if it can pay Referrer rewards in the applicable country. If Karbon determines it can pay Referrer rewards in a requested country, Karbon will email you the per-user amount of the Referrer reward for the requested country.

• Rewards a Referrer can earn are limited only by the number of available users for them to refer, which provides substantial earning potential based on the number of successful user referrals.

Additionally, each successfully Referred Firm is entitled to a one-time discount towards their implementation fees.

4. Issuing Of Rewards And Offers

Rewards are issued to Referrers under the following conditions:

• The Referrer reward per individual in a Referred Firm is credited to the Referrer in the payment method of their choice provided below after the Referred Firm's first payment for the annual subscription is completed.

  • Referrers can choose the form of their reward from the available options provided by Karbon, including account credit, direct payment, gift cards, or charitable donations, each subject to specific terms and conditions.

  •  

• Rewards are processed and issued within 30 days following the Referred Firm's first payment.

•  

• Referred Firms receive an implementation discount directly applied to their account upon activation of their annual subscription plan, contingent upon meeting the eligibility criteria detailed in these Program Terms and Conditions. The amounts of the discount are in the currency for the Referred Firm’s T&Cs and the discount amounts are specified by currency in the table immediately below. If your applicable subscription currency is not in the table below, contact Karbon at [email protected], and Karbon will determine the Referred Firm credit in the applicable country currency and email that amount to you. 

• Referrers and Referred Firms are required to comply with all Program terms and conditions to qualify for rewards and offers. Karbon reserves the right to verify participant eligibility and referral validity to ensure Program compliance.

5. Privacy

All personal information collected and processed as part of this Referral Program will be used in accordance with the Program and otherwise with Karbon’s Privacy Policy, available at https://karbonhq.com/privacy-policy/. 

6. General 

6.1. These Referral Terms are published by Karbon (“we”’, “us” and “our”). Our Referral Program as displayed on our Website https://karbonhq.com/referrals/ and these Terms form a binding agreement for both Referring users (“you” or “your(s)”) and people who receive our referral invitation.

6.2. This Referral Program permits you to invite your contacts to participate in one or more Referral Program(s).

7. Completed Referral Additional Requirement

7.1. All referred people must be new and first-time users. Existing users can only participate in and benefit from the Referral Program by referring new, first-time users.

7.2. Each Referrer represents that all personal information is 100% correct and up to date. We may monitor your use of the Referral Program or request your ID to verify your identity before issuing rewards. (Note, where US or other applicable law prohibits payments to or any transactions with embargoed people, organizations or countries, Karbon will be unable to pay any Referrer rewards.)

8. Restrictions

8.1. This Program cannot be combined with other Karbon referral programs, discounts, vouchers, benefits, or incentives. 

8.2. You understand and agree that you must not use referral methods that are bothersome to the recipients. Moreover, your participation in the Referral Program must not violate any applicable law, including but not limited to anti-spam legislation, which is the mass distribution of unsolicited messages.

8.3. You must not publish our Referral Program on any sites or platforms that house any Adult Content, Alcohol, Tobacco, Gambling, Games and Online Casinos, Political Content, or any form of illegal activities. 

9. Term and Termination

9.1. This Referral Program will run until Karbon provides notice of its end-date posted at (https://karbonhq.com/referrals/) and that date can be further extended or restricted by later notice in the same manner. We may also in our sole discretion notify Referrers and Referred Firms that the Referral Program has ended with immediate effect.

9.2. Any referral made before the end of the Referral Program can still participate. However, we may exclude referrals in our sole discretion after its termination date.

9.3. We may terminate this Referral Program at any time, including your participation or the availability of its benefits. 

10. Exclusive Relationship

10.1. You understand and agree that in your capacity as a user of our services and/or products, you are not in any way authorized to and must refrain from implying any other affiliation or legal relationship with us. 

10.2. You understand and agree that you are never authorized to legally bind our company. 

10.3. You must never create any materials that contain our branding, trademark, or (part of) our corporate identity without Karbon’s written permission. All intellectual property rights, the content, services, and all materials distributed at or in connection with Karbon and this Referral Program are owned by Karbon, and Karbon affiliates. You agree not to reproduce, modify, distribute, license, perform, publish, create derivative works from or use for any reason. Copying or distributing any part of the event websites in any medium without Karbon’s prior written consent or modifying, creating derivative works, copying, or storing any significant portion of the website or event or any related technology (unless allowed by law) is prohibited.

10.4. By participating in the Referral Program you must not represent yourself in duplicate, or as an agent or intermediary of our company.

11. Privacy and Information

11.1. You undertake to respect the privacy rights of the people you invite to our Referral Program and direct to our website. 

11.2. When referring other people, you must always inform them about the applicable terms and conditions and privacy policy. You must do so before they participate in the Referral Program, and leave their personal information.

12. Amendments

We may amend the terms and conditions of our Referral Program. We may offer and/or restrict additional incentives, benefits, and programs. As a result, additional terms may apply. You agree it is your obligation to check these terms from time-to time so that you are aware of any amended and additional terms.

13. Violations and Termination

13.1. In case we suspect any violations of these terms or otherwise tampering with, fraud, or unreasonable use of our Referral Program, we may in our sole discretion cancel the distribution of any discount, benefit, or payout, and exclude you from participating further in the Referral Program. . 

13.2. You must comply with all applicable laws and regulations, and refrain from violating any third party rights. These rights include any copyright, trademark, or other proprietary rights.

14. Disclaimer and Indemnification

14.1. We offer our Referral Program and its benefits only on an “as is” and “as available” basis. We may remove, change, and update the Referral Program at our sole discretion. We will never make any promises or guarantees about the content and information of our Referral Program. We disclaim our responsibility for any information that is incorrect or has errors. 

14.2. These Referral Program Terms and Conditions do not supersede Karbon’s Terms of Service. Karbon’s Terms of Service will govern in case of any direct conflict. Our Referral Program is provided by Karbon in good faith. However, you acknowledge and agree that we can never guarantee any benefit or result from participating in the Referral Program.

14.3. You will defend, indemnify, and hold Karbon harmless from and against all claims, damages, liabilities, losses, expenses, and costs (including reasonable attorneys fees) arising from your participation in the Referral Program.

15. Disputes And Refunds

The choice of rewards under the Karbon Referral Program is in Karbon’s sole and absolute discretion and Karbon will not refund or offer exchanges for any reward. Karbon hereby disclaims all warranties of any kind whether express, implied or statutory in connection with the Referral Program and the Referral Program is provided “as is”. 

16. Applicable Law

The Referral Program, these terms and any participation in the Referral Program by Referred Firms (and their users) and Referrers is governed by the laws of the State of Nevada, without regard to its conflicts of law rules.
